Signyd Terms and Conditions

Last updated: November 3, 2026 These Terms and Conditions (the “Terms”) govern access to and use of the Signyd website at signyd.com, the Signyd application at app.signyd.com, Signyd Verify, and all related services (together, the “Service”), provided by Villaces Inc., with its address at 4800 Fort Stevens St., Apt 703, Orlando, FL 32822, USA (“Signyd”, “we”, “us” or “our”). By creating an account, clicking “Sign up” or “Get Started”, or otherwise using the Service, you agree to these Terms. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “Customer” or “you” refers to that entity. If you do not agree, do not use the Service.

1. The Service

Signyd is a business-to-business (B2B) software-as-a-service platform that lets organizations prepare, send, sign, store and manage electronic documents, and optionally verify the identity of signers. The Service includes, among other features: electronic signature (eSignature), custom fields, documents and templates, attachment of additional documents, team management, audit trails and Certificates of Completion, cryptographic sealing of PDFs, magic link authentication, enterprise branding, and biometric identity verification through Signyd Verify. The Service is intended for business use. It is not offered to consumers for personal, family or household purposes, and you may not use it as a consumer.

2. Definitions

  • “Account”: the workspace created by or for the Customer to use the Service.
  • “Authorized User”: an individual the Customer permits to use the Account, including administrators and team members.
  • “Sender”: an Authorized User who sends a document for signature.
  • “Signer”: any individual who receives a document through the Service to review, sign, approve or verify their identity. A Signer is not necessarily a Customer.
  • “Customer Content”: all documents, templates, data, signatures, attachments and other materials uploaded, created or transmitted through the Service by or on behalf of the Customer or its Signers.
  • “Credits”: the units of usage included in a plan or purchased separately, consumed when sending signature requests or running identity verification checks.
  • “Certificate of Completion”: the tamper-evident record generated for each completed agreement, which includes the audit trail.
  • “Signyd Verify”: the optional KYC and biometric identity verification feature that requires a Signer to present a government-issued identity document and complete a live selfie check.

3. Eligibility and Accounts

3.1. You must be at least 18 years old, or the age of majority in your jurisdiction, and have legal capacity to enter into binding contracts. 3.2. You must provide accurate, current and complete registration information and keep it updated. 3.3. You are responsible for all activity under your Account, for the acts and omissions of your Authorized Users, and for maintaining the confidentiality of credentials and access links. Notify us immediately at support@signyd.com if you suspect unauthorized access. 3.4. You must not share Account credentials outside your organization or allow more users than your plan permits.

4. Plans, Credits and Billing

4.1. Plans and Credits. The Service operates on a credit-based model. Each plan includes a number of Credits per billing period, as described on our Pricing page. Credits are consumed when you send a signature request or run an identity verification check. Additional Credits may be purchased or scaled on demand. Features described as unlimited (including unlimited multi-party envelopes, self-sign envelopes, storage or templates, where offered) are subject to our Fair Use Policy. 4.2. Credit consumption. Credits are consumed when the relevant action is initiated, as described in the Service interface. Unless we state otherwise in writing, consumed Credits are not refunded, including where a Signer declines, does not respond, or fails an identity check. 4.3. Expiry. Unless your plan states otherwise, included monthly Credits do not roll over and expire at the end of each billing period. Purchased Credits expire as stated at the time of purchase. 4.4. Fees and taxes. You agree to pay all fees in the currency and at the intervals shown at checkout or in your order. Fees exclude taxes, duties and levies, which you are responsible for, except taxes on our net income. 4.5. Payment. Payments are processed by third-party payment processors. You authorize us and our processors to charge your payment method for recurring fees, additional Credits and any applicable taxes. You must keep payment details current. 4.6. Automatic renewal. Subscriptions renew automatically for successive periods equal to the initial period unless cancelled before the renewal date through the Account settings or by written notice to us. 4.7. Late or failed payments. If payment fails or is overdue, we may suspend or restrict the Service after notice until the amount is paid, and may charge interest at the lower of 1.5% per month or the maximum rate permitted by law. 4.8. Changes in pricing. We may change prices or plan features by giving at least 30 days’ notice. Changes take effect at the next renewal period. 4.9. Refunds. Fees are non-refundable except for a confirmed duplicate payment, as defined in our Payments and Refunds Policy, or where a payment network or mandatory law requires a reversal. Cancellation stops future renewals and does not prorate the current period. 5.1. Legal framework. The Service collects simple electronic signatures (SES) of each Signer (a visual mark plus access to the emailed signing link). Signyd then cryptographically signs and seals the completed PDF with keys held in an HSM, using AATL certificates and a TSA timestamp. The Service does not produce an advanced electronic signature (AES) or a qualified electronic signature (QES) of the Signer, and Signyd is not a qualified trust service provider. Whether an SES plus Signyd’s cryptographic signature and seal is recognized under laws such as the U.S. ESIGN Act, UETA, or Regulation (EU) No 910/2014 (eIDAS) depends on the document, the parties and applicable law. See the Signature and Sealing Practices Statement. 5.2. No legal advice. Signyd is a technology provider. We are not a party to any agreement signed through the Service, we are not a law firm, and nothing in the Service or these Terms is legal advice. 5.3. Customer responsibility. You are solely responsible for determining whether an electronic signature, and the specific level of signature or identity verification used, is legally valid and enforceable for your documents, jurisdictions and counterparties. Some documents may be excluded by law from electronic execution or may require a specific type of signature (for example, wills and testamentary documents, certain family law documents, certain notarial acts, and certain real estate or court documents, depending on the jurisdiction). You must not use the Service for such documents unless permitted by applicable law. 5.4. Consent of Signers. As a Sender, you must ensure that each Signer is given any disclosures required by applicable law and has consented to conduct the transaction electronically, where such consent is required. 5.5. Content of documents. You are responsible for the content, accuracy and legality of every document you send, including the correct identification of Signers and signature fields.

6. Audit Trail, Certificates and Sealing

6.1. For each completed agreement the Service generates a Certificate of Completion that may include the document hash, signer IP addresses, timestamps, email hashes, identity verification results and other event data. Signyd cryptographically signs and seals the completed PDF (PKCS#7 detached) with keys in an HSM, AATL certificates, and an RFC 3161 TSA timestamp. 6.2. The digital signature on the PDF is Signyd’s (the PDF signer name is Signyd.com), not a personal certificate of each human Signer. Compatible readers that honor the Adobe Approved Trust List (AATL) can show the certificate as trusted. 6.3. You acknowledge that we process and retain this evidentiary data as part of the Service, that it is necessary to provide the Service, and that Signers will be informed of this processing as described in our Privacy Policy. You may not attempt to alter, remove or falsify audit trail data or seals.

7. Signyd Verify (Identity Verification)

7.1. Signyd Verify is optional and may require a Signer to present a government-issued identity document and complete a live selfie check before signing. 7.2. Biometric data and consent. Signyd Verify may involve processing of biometric data and images of identity documents. Before any verification takes place, the Signer will be shown a notice and, where required by law, asked for explicit consent. As Sender, you are responsible for ensuring that you have a lawful basis to request identity verification from the Signer and for informing Signers about the purpose of the check. 7.3. Providers. Verification may be performed by us or by third-party identity verification providers acting on our behalf. Supported documents and territories are described on our website and may change. 7.4. No guarantee. Identity verification is probabilistic and may produce false positives or false negatives. Results are provided as a tool to assist your decision-making and do not constitute a guarantee of identity, authority or legal capacity. Completing Signyd Verify does not produce an advanced or qualified electronic signature of the Signer. You remain responsible for decisions you make based on verification results. 7.5. Compliance. You must use Signyd Verify only for lawful purposes and in compliance with data protection, biometric privacy, anti-discrimination and anti-money-laundering laws applicable to you.

8. Customer Content and Data Protection

8.1. Ownership. As between you and Signyd, you retain all rights in Customer Content. You grant Signyd a limited, non-exclusive, worldwide license to host, process, transmit, display and store Customer Content solely to provide, secure, maintain and support the Service, and as required by law. 8.2. Roles. For personal data contained in Customer Content, you act as the controller (or business) and Signyd acts as the processor (or service provider), as described in our Data Processing Addendum, which is incorporated by reference where applicable. For personal data we collect for our own purposes, such as Account administration, billing and security, Signyd acts as an independent controller as described in our Privacy Policy. 8.3. Your obligations. You are responsible for the lawfulness of the personal data you upload, including having all notices, consents and legal bases required to share it with us and with Signers. 8.4. Sensitive data. Do not upload special categories of data, health information, payment card data or similar regulated data unless the Service and your plan are suitable for it and any additional agreements that may be required by law (for example, a business associate agreement for protected health information) are in place with us in writing. Protected health information may be submitted only by Customers on the Custom Plan, and only after Signyd and the Customer have signed a business associate agreement (BAA). We do not agree to meet other sector-specific obligations unless we have signed a specific agreement with you. 8.5. Retention and deletion. We retain Customer Content for the duration of your Account, and for a limited period afterwards to allow export, unless a longer period is required by law or for legitimate evidentiary purposes related to signed agreements. You are responsible for exporting your documents before termination. After the retention period we may delete Customer Content without further notice. Customers on the Custom Plan may choose where their Customer Content is hosted (data residency), as set out in their order form. 8.6. Privacy. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

9. Security

We maintain technical and organizational measures designed to protect the Service and Customer Content, including encryption in transit and at rest and the use of hardware security modules for cryptographic keys. No system is completely secure, and we do not guarantee that the Service will be free from unauthorized access. You are responsible for securing your devices, credentials and email accounts, including any email account that receives magic links or signing invitations. Our current security practices are described on our Security page.

10. Acceptable Use

You agree not to, and not to allow others to:
  • use the Service for any unlawful, fraudulent, deceptive or harmful purpose, including forging signatures or impersonating another person;
  • send documents or content that infringe the rights of others, or that contain malware, or illegal, defamatory or abusive material;
  • use the Service to collect identity or biometric data without a lawful basis or without the required notices and consent;
  • attempt to bypass identity verification, audit trail, sealing or security controls;
  • probe, scan, disrupt or overload the Service, or access it by automated means (other than through any API we make available) without our permission;
  • reverse engineer, decompile or copy the Service, or use it to build a competing product;
  • resell or sublicense the Service except where we have agreed in writing;
  • send unsolicited bulk signature requests or use the Service for spam or phishing;
  • use the Service in violation of sanctions, export control or anti-money-laundering laws.
We may investigate suspected violations, remove content, and suspend or terminate access where we reasonably believe these rules have been breached. Abuse or unreasonable consumption of features marketed as unlimited is also governed by the Fair Use Policy.

11. Intellectual Property

The Service, including software, designs, trademarks, logos, documentation and all related intellectual property, is owned by Signyd or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription for your internal business purposes. No other rights are granted. The names Signyd and Signyd Verify, and related logos, are our trademarks. If you give us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation to you.

12. Third-Party Services

The Service may integrate with or rely on third-party services such as cloud hosting providers, payment processors, identity verification providers, email delivery services and integrations that you choose to connect. Those services are governed by their own terms. We are not responsible for third-party services that we do not control, and their outages or changes may affect the Service.

13. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will use it only for the purposes of these Terms, protect it with reasonable care, and not disclose it except to employees, contractors and advisors who need to know and are bound by confidentiality duties, or as required by law. These obligations do not apply to information that is public through no fault of the receiving party, was already known to it, or was independently developed. They survive for three years after termination, and for Customer Content, for as long as we hold it.

14. Availability, Support and SLA

We aim to keep the Service available but do not promise uninterrupted or error-free operation. We may perform maintenance, and we may modify or discontinue features, giving reasonable notice of material changes where practicable. Support is provided through the channels indicated on our website. Enterprise customers may be entitled to service levels and priority support as set out in a separate written agreement or order form, which prevails over this section to the extent of any conflict.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Signyd disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that a signature, seal or verification result will be accepted as valid or admissible by any court, authority, counterparty or software. References on our website to compliance with laws, standards or frameworks describe the design objectives of the Service and are not a guarantee that your particular use will satisfy any legal requirement.

16. Limitation of Liability

16.1. To the maximum extent permitted by law, Signyd will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunities, arising out of or related to the Service or these Terms, even if advised of the possibility. 16.2. Signyd’s total aggregate liability arising out of or related to the Service or these Terms will not exceed the fees you paid to Signyd in the twelve (12) months preceding the event giving rise to the claim. 16.3. These limitations do not exclude or limit liability that cannot be excluded or limited by law, including liability for fraud, willful misconduct or gross negligence, or for death or personal injury caused by negligence, where applicable.

17. Indemnification

You agree to defend, indemnify and hold harmless Signyd, its affiliates, officers, employees and agents from any claims, damages, fines, losses and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer Content; (b) your breach of these Terms or applicable law; (c) your failure to obtain required consents or give required notices to Signers; (d) disputes between you and any Signer or counterparty regarding a document; or (e) your use of the Service for documents or purposes that are not legally permitted to be executed electronically.

18. Term and Termination

18.1. These Terms apply from your first use of the Service and continue until terminated. 18.2. You may cancel your subscription at any time through the Account settings; cancellation takes effect at the end of the current billing period. 18.3. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, use the Service unlawfully, or put the Service or other customers at risk. We may also terminate on 30 days’ notice for convenience, in which case we will refund prepaid fees for the unused portion of the term. 18.4. On termination, your right to use the Service ends. You may request an export of your Customer Content within the retention period described in section 8.5. Sections that by their nature should survive termination, including those on fees owed, intellectual property, confidentiality, disclaimers, liability, indemnification and governing law, will survive. 18.5. Termination does not affect the validity of agreements already signed through the Service.

19. Governing Law and Disputes

19.1. These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. 19.2. The parties will first try to resolve any dispute in good faith through written notice and negotiation for at least 30 days. 19.3. If the dispute is not resolved, it will be submitted exclusively to the courts of Orange County, Florida, United States. Each party consents to that jurisdiction. Nothing prevents either party from seeking urgent injunctive relief from a competent court to protect intellectual property or Confidential Information. 19.4. Where mandatory local law gives you non-waivable rights or forum rights, those rights are not limited by this section.

20. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or through the Service at least 30 days before it takes effect, or sooner where required by law or for security reasons. Continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Service and cancel your subscription before the changes take effect.

21. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy, the Payments and Refunds Policy, the Fair Use Policy, any Data Processing Addendum, your order form or plan details, and any enterprise agreement, are the entire agreement between you and Signyd regarding the Service. In case of conflict on fees or refunds, the Payments and Refunds Policy controls unless a signed enterprise agreement prevails. In case of conflict on unlimited-feature usage, the Fair Use Policy controls unless a signed enterprise agreement prevails.
  • Severability. If any provision is held unenforceable, the rest remains in effect and the provision will be modified to the minimum extent necessary.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of internet, cloud or utility providers, natural disasters, war, labor disputes or government action.
  • Independent parties. The parties are independent contractors. These Terms create no partnership, agency or employment relationship.
  • Notices. We may send notices to the email address associated with your Account or through the Service. You may send notices to legal@villaces.com.
  • Language. These Terms may be provided in several languages for convenience. In case of discrepancy, the English version prevails.
  • Electronic acceptance. You agree that these Terms may be accepted electronically and that your acceptance has the same effect as a handwritten signature.
